Welcome to LOCASLY.

These Terms of Service ("Terms") govern your access to and use of www.locasly.com and all related services, applications, software, and content provided by LOCASLY ("Service").

By creating an account, making a purchase, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old to use the Service.

LOCASLY provides software tools and business intelligence designed to help freelancers, agencies, consultants, SEO professionals, no-code builders, and service providers identify potential business opportunities and prospective clients.

LOCASLY does not provide legal, financial, investment, or business advice.

To access certain features, you must create an account.

You agree to:

• Provide accurate information
• Maintain the security of your credentials
• Promptly update account information
• Accept responsibility for activity occurring under your account

We may suspend or terminate accounts that violate these Terms.

LOCASLY currently offers free access during its launch period and a one-time purchase for lifetime access. The lifetime purchase is charged once and does not renew automatically.

If we offer subscriptions, setup services, usage-based API access, prepaid API credits, or other paid options in the future, the applicable prices, billing frequency, usage rates, and renewal terms will be disclosed before purchase. By placing an order, you authorize the charges disclosed at checkout. Any recurring subscription will renew on the disclosed schedule until cancelled under Section 5; we will provide notice of price changes as required by law.

Refunds and credits. All sales are final except where a refund is required by applicable law. We do not offer voluntary refunds, credits, or prorated returns for lifetime access, partial subscription periods, unused features, unconsumed API credits, or setup and API usage fees, whether or not you access or use the Service.

Immediate digital delivery and withdrawal rights. We begin providing digital access promptly after payment is confirmed and your account is activated. If applicable law provides a withdrawal or cooling-off right, that right remains in place unless an exception is validly established under that law. Such an exception may require your separate, express consent and acknowledgment before delivery; agreeing to these Terms or using the Service alone does not waive statutory rights.

Billing questions and disputes. If you believe a charge is incorrect, please contact support@locasly.com first and, where practicable, give us a reasonable opportunity to investigate and resolve it before filing a payment dispute. This request does not limit your right to contact your bank or payment provider or to exercise any rights under applicable law. If a dispute is filed, we may provide relevant transaction records and these Terms to the payment provider for its review.

Payments are processed through Stripe.

Failure to pay for a paid option may result in limited or suspended access to that option.

The current lifetime purchase is a one-time payment. It does not renew and does not require cancellation. Stopping use does not undo a completed purchase, subject to any rights you have under applicable law.

If we offer a recurring subscription in the future, you may cancel it at any time using the method disclosed at purchase or by contacting support@locasly.com. Cancellation before the next renewal stops future recurring charges but does not reverse charges for the current or prior billing periods, except where required by law.

Unless otherwise disclosed at purchase or access is suspended under these Terms, paid subscription access continues until the end of the current paid billing period. After that, access may end or revert to any free access then available. Cancelling a future subscription does not cancel separately purchased lifetime access.

You agree not to:

• Violate any law or regulation
• Send unlawful spam
• Engage in harassment or fraud
• Misrepresent your identity
• Attempt unauthorized access to systems
• Reverse engineer the Service
• Copy, reproduce, resell, or exploit the Service without authorization
• Interfere with Service security or operation
• Use automated methods to extract data beyond functionality expressly provided by LOCASLY

You are responsible for ensuring that your outreach, communications, and marketing activities comply with all applicable laws and regulations.

Information available through the Service may originate from public sources, third-party providers, business directories, mapping services, automated analysis systems, or proprietary methods.

LOCASLY does not guarantee:

• Accuracy
• Completeness
• Timeliness
• Availability
• Suitability for any purpose

Users are solely responsible for independently verifying information before relying on it for outreach, marketing, sales, or business decisions.

Certain information available through the Service may originate from third-party providers, including mapping services, business directories, public records, and external information sources.

LOCASLY does not control such sources and is not responsible for their content, availability, accuracy, or policies.

Third-party providers may change, restrict, or discontinue access to information at any time.

LOCASLY reserves the right to modify, limit, or discontinue access to third-party sourced information or export functionality without notice.

LOCASLY provides software tools, information, and business insights intended to assist users in identifying potential business opportunities and prospective clients.

LOCASLY does not guarantee:

• New clients
• Sales or revenue
• Meetings or appointments
• Responses from prospects
• Business growth
• Marketing performance
• Lead quality
• Conversion rates
• Any specific business outcome

Business success depends on factors outside LOCASLY's control.

Any testimonials, examples, projections, estimates, case studies, or success stories are illustrative only and do not guarantee future results.

The Service, including software, databases, algorithms, trademarks, designs, content, branding, and technology, is owned by LOCASLY or its licensors.

LOCASLY grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful business purposes.

No ownership rights are transferred.

You retain ownership of content you submit.

You grant LOCASLY a non-exclusive license to host, store, process, and display submitted content solely for operating and improving the Service.

The Service is provided on an "as available" basis.

LOCASLY does not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue features at any time.

The Service is provided "as is" and "as available." To the maximum extent permitted by law, LOCASLY disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

To the maximum extent permitted by law, LOCASLY shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

LOCASLY's total liability shall not exceed the amount paid by the user to LOCASLY during the twelve months preceding the claim.

You agree to indemnify and hold harmless LOCASLY and its affiliates, officers, owners, employees, and contractors from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of applicable law
• Your violation of third-party rights

We may suspend or terminate access to the Service at any time if we believe you have violated these Terms or created legal, operational, or security risks.

These Terms are governed by the laws of the State of California.

Any dispute arising from these Terms shall be resolved in the courts located within California, and you consent to their jurisdiction.

We may update these Terms at any time.

Continued use of the Service after updated Terms are posted constitutes acceptance of the revised Terms.
